Middleman CEO Terms & Conditions

Effective Date: October 1, 2026

By purchasing, enrolling in, or using Middleman CEO services, you agree to these Terms & Conditions.

1. Middleman CEO Program

Middleman CEO provides entrepreneurs with technology, business-building tools, training, resources, and support for building and operating a Middleman business.

Depending on the model and plan purchased, this may include a business website, Booking Model or Directory Model technology, CEO Academy, dashboards, AIME marketing tools, payment integrations, provider/business management tools, follow-up systems, and other technology.

2. What the CEO Owns

The CEO owns their independent business and CEO-owned assets, including, as applicable:

  • Business name
  • Independently owned domain
  • Business logo and branding
  • Original content provided by the CEO
  • CEO-specific business information and data, subject to applicable law

Ownership of the business does not mean ownership of the Middleman CEO software or technology that powers the business.

3. What Middleman CEO Owns

Middleman CEO and/or its technology providers retain ownership of the underlying technology used to operate the platform, including:

  • Source code and software
  • Website/platform frameworks
  • Code repositories
  • Hosting infrastructure
  • Database architecture and schemas
  • Booking and quote systems
  • Directory technology
  • Payment/deposit workflows
  • Provider/ISP systems and dispatch technology
  • Dashboards
  • Automated follow-up systems
  • AIME and related AI/marketing technology
  • Platform automations
  • APIs and proprietary integrations
  • Administrative systems
  • Training materials
  • Other proprietary platform technology

Purchasing or enrolling in Middleman CEO provides access to applicable technology. It does not constitute the purchase or transfer of the Middleman CEO software, source code, platform, or proprietary technology.

4. Use of the Platform

While the CEO's applicable membership or service remains active and in good standing, the CEO receives a limited, non-exclusive, non-transferable right to use the applicable Middleman CEO technology for their business.

The CEO may not copy, sell, transfer, redistribute, reverse engineer, extract, reproduce, sublicense, or provide Middleman CEO proprietary technology or source code to another developer, agency, company, or third party.

5. If a CEO Leaves the Program

If a CEO leaves Middleman CEO, the CEO retains ownership of applicable CEO-owned assets, including their independently owned domain, business name, and branding.

However, access to Middleman CEO technology ends when the applicable service ends.

Middleman CEO is not required to transfer its source code, repositories, hosting infrastructure, platform databases or schemas, AIME, automations, booking technology, directory technology, proprietary integrations, internal credentials, or other proprietary technology.

If the CEO chooses to operate independently after leaving, the CEO is responsible for obtaining or building their own website, hosting, software, databases, integrations, automations, payment systems, and other technology.

6. Payments & Memberships

CEOs agree to the pricing and payment schedule disclosed at purchase.

Purchases may include one-time payments, installments, and/or recurring monthly platform or membership charges.

When recurring billing applies, the CEO authorizes the applicable payment method to be charged according to the disclosed billing schedule until canceled according to the applicable cancellation procedure.

7. Cancellation & Refunds

CEOs may request cancellation through the designated Middleman CEO support method.

Cancellation does not automatically create a refund for previous payments, completed builds, platform access already provided, digital products, coaching already delivered, or work already performed.

Unless otherwise stated in a specific written offer or required by law, completed work and previously delivered digital services are non-refundable.

8. No Guaranteed Results

Middleman CEO provides technology, training, tools, resources, and support.

Middleman CEO does not guarantee income, profits, customers, bookings, leads, providers, listings, paid memberships, conversions, traffic, or any particular business result.

Revenue examples, projections, goals, testimonials, and potential earnings discussed by Middleman CEO are examples only and are not guarantees.

9. CEO Responsibility

Each CEO operates their own independent business and is responsible for their business decisions, marketing, taxes, insurance, licensing, permits, customers, providers, contractors, listed businesses, and applicable legal requirements.

10. AIME & AI Technology

AIME and other AI features are designed to assist with marketing, analysis, recommendations, strategies, content creation, advertising, follow-up, and other business functions.

AI-generated information should be reviewed before use.

AIME does not guarantee business results and remains proprietary technology of Middleman CEO and/or its applicable technology providers.

11. Platform Changes

Middleman CEO may add, improve, modify, replace, reorganize, or discontinue platform features as its technology evolves.

12. Intellectual Property

Middleman CEO's software, systems, processes, training, videos, documents, designs, methodologies, AIME technology, platform functionality, branding, and proprietary materials remain the intellectual property of their respective owners.

Enrollment does not transfer ownership of this intellectual property to the CEO.

13. Third-Party Services

Middleman CEO may use third-party services for payment processing, hosting, email, domains, artificial intelligence, analytics, and other functions.

Middleman CEO is not responsible for outages, policy changes, or failures caused solely by independent third-party providers outside its reasonable control.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Middleman CEO and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages resulting from participation in the program or use of the Services.

15. Governing Law

These Terms are governed by the laws of the State of Texas, except where applicable law requires otherwise.

16. Electronic Acceptance

By checking the Terms acceptance box and completing a new purchase or enrollment, the CEO confirms that the Terms and Privacy Policy were made available before purchase and agrees to them electronically.
